Operator & Scope

These Terms of Use govern your access to and use of all services provided by NeuroFoundation, LLC (“Operator,” “we,” “our”), a company incorporated in Delaware, United States, including: Company address: NeuroFoundation, LLC, 1111B S Governors Ave STE 28958, Dover, DE 19904 The Services provide access to interact with Neurobro, an AI agent powered by a network of specialized AI sub-agents, as well as trading and swap functionality through Neurobro Web and, in the Neurobro Mobile App, through NeuroWallet. All Services are strictly non-custodial: we never hold, control, or have access to your private keys, seed phrases, or funds. The Neurobro Mobile App additionally includes a Portfolio Tracking feature, which allows you to connect accounts you hold at supported third-party cryptocurrency exchanges using read-only exchange API keys in order to view your balances, trade history, positions, and net worth within the App. Portfolio Tracking is a feature of the Mobile App only; it is independent of, and operates separately from, the Neurobro Web non-custodial swap interface. The terms governing this feature are set out in Section 3 (Read-Only Exchange Connections). The Neurobro Mobile App also includes NeuroWallet, a self-custodial embedded wallet that lets you hold digital assets and initiate trades from within the App. NeuroWallet covers spot cryptocurrency trading, tokenized equities, and perpetual futures, together with deposits and cash-out in traditional currency. NeuroWallet is separate from, and operates independently of, Portfolio Tracking. The terms governing NeuroWallet are set out in Section 2 (Non-Custodial Nature & NeuroWallet). The Services include NeuroAPI, a paid developer API that provides programmatic access to Neurobro’s AI-driven financial intelligence for use in your own applications. Your access to and use of NeuroAPI is additionally governed by the API Terms of Service, which are incorporated into and form part of these Terms. In the event of a conflict, the API Terms control for your use of NeuroAPI. NeuroAPI is a developer product and is separate from the read-only exchange “API keys” used for Portfolio Tracking (Section 3). Neurobro uses internal tools that connect to third-party platforms, including TikTok, for content creation, publishing, and performance analytics on behalf of our marketing team. These integrations are used solely for Neurobro’s own content operations and are not available to end users.

1. Eligibility and Access

1.1 Age and Capacity Requirements

You must be 18 years or older and able to enter a binding contract. You represent and warrant that you are of legal age and possess the capacity in your jurisdiction to enter into binding agreements.

1.2 Prohibited Jurisdictions

You may not access the Services if you are:
  • a resident or national of Cuba, Iran, North Korea, Syria, Crimea, Sevastopol, Donetsk, Luhansk, or any territory subject to comprehensive sanctions; or
  • listed on any sanctions list maintained by OFAC, the United Nations Security Council, the European Union, or other applicable authorities.
By using our Services you represent and warrant that you are not a Prohibited Person, are not using VPNs or other means to bypass geo‑controls, and that any assets you use with the Services are legally yours and are not derived from, or used for, any illegal, unauthorized, or sanctioned activity.

1.3 Subscriptions and Access Tiers

Access to premium features of the Services (e.g., higher daily AI request limits, faster responses, alpha reports) requires an active subscription (Pro or Ultra). Subscriptions are available via Stripe (web) or in-app purchase through the Apple App Store or Google Play Store. See Plans & Pricing for current pricing and tier details. Alternatively, holding a minimum amount of $BRO tokens in a linked wallet may unlock higher access tiers without a paid subscription. Token thresholds and tier mappings are described on the Plans & Pricing page and may be adjusted at any time.

1.4 Geographic Restrictions and Availability

Availability of the Services, and of individual features within them, varies by jurisdiction. We determine your location from the sources described in our Privacy Policy and apply the tiers below. The jurisdictions in each tier may change at any time and without notice. (a) Comprehensively restricted jurisdictions. The Services are not available at all to any person located in a jurisdiction subject to comprehensive sanctions, as described in Section 1.2. Requests from these jurisdictions are refused outright. (b) Execution-restricted jurisdictions. In certain further jurisdictions you may view the Services, but NeuroWallet money-movement features, meaning wallet creation, trading, deposits, and withdrawals, are refused. This currently applies to Russia, Belarus, Venezuela, and Myanmar. (c) Feature-restricted jurisdictions and persons. Individual NeuroWallet features are withheld even where the rest of NeuroWallet is available. Perpetual futures (Section 2.6) and tokenized equities (Section 2.7) are not offered to U.S. Persons, as defined in Section 1.5, wherever located, nor to any person located in the United States or the United Kingdom. (d) Fiat deposits and cash-out. Availability, and the payment methods offered within it, is determined by the third-party payment providers described in Section 2.8 and varies by country, currency, and method. (e) Where your location cannot be determined. If we cannot determine your jurisdiction, NeuroWallet money-movement features are withheld. They are not enabled by default in that case. Except as set out above, NeuroWallet is available generally and is not limited to a list of approved countries. Nothing in this Section entitles you to use the Services where doing so would be unlawful, and you remain responsible for compliance with the laws that apply to you.

1.5 U.S. Persons

For the purposes of these Terms: “United States” means the United States of America, its territories and possessions, any state of the United States, and the District of Columbia. “U.S. Person” means: (i) any natural person resident in the United States; (ii) any citizen or permanent resident of the United States, including any such person temporarily located outside the United States; (iii) any entity organized or incorporated under the laws of the United States or of any state thereof; (iv) any estate of which any executor or administrator is a U.S. Person; (v) any trust of which any trustee is a U.S. Person; (vi) any agency or branch of a non-U.S. entity located in the United States; (vii) any discretionary or non-discretionary account held by a dealer or other fiduciary organized, incorporated, or, if an individual, resident in the United States; or (viii) any entity organized or incorporated outside the United States by a U.S. Person principally for the purpose of investing in securities or derivative instruments not registered under the laws of the United States. Where these Terms state that a feature is not offered to U.S. Persons, that restriction applies to you wherever you are located and whatever location our systems detect. It is a condition of your right to use that feature, and it is not satisfied merely because you are able to reach the feature in the App.

2. Non‑Custodial Nature & NeuroWallet

2.1 Strictly Non-Custodial

IMPORTANT: All Services are strictly non-custodial. We never generate, hold, store, or have access to your private keys, seed phrases, or funds. You retain sole and total independent control of your digital assets at all times. We do not ever take custody, possession, or control of your digital assets; we have no ability to retrieve, freeze, or reverse a transaction; and we cannot transfer your assets to ourselves or to any destination you have not initiated. The only actions you authorize us to take are to relay the transactions you sign yourself and, on older versions of the App, to submit the trades you initiate under the legacy authorization described in Section 2.4. Neither can be used to move your assets to us or off your wallet. You access the Services through Neurobro Pass, which supports sign-in via social accounts (Google, Apple, Email), Telegram, Web3 wallets, or mini-apps. For on-chain interactions on Neurobro Web, you connect a self-hosted wallet (MetaMask, WalletConnect, Rabby, etc.), and all such transactions are signed by you and broadcast directly to the relevant blockchain. Neurobro provides software and technical tools, not financial services. Neurobro is not registered with or licensed by any regulatory authority. You maintain control of, and responsibility for, your digital assets.

2.2 The NeuroWallet Embedded Wallet

The Neurobro Mobile App includes NeuroWallet, a self-custodial embedded wallet that lets you hold digital assets and trade from within the App. NeuroWallet currently supports the Solana, Base, Arbitrum, BNB Chain, and Robinhood Chain networks, and connects to Hyperliquid as a separate venue for the perpetual-futures feature described in Section 2.6. The supported networks and venues may change over time. Your NeuroWallet is created and secured for you by Privy, a third-party embedded-wallet provider. Your wallet’s private keys are generated and held in Privy’s secure infrastructure and are controlled by you. Neurobro does not generate, hold, store, or have access to your NeuroWallet private keys or seed phrase, and Privy does not act as a custodian of your wallet. Your use of NeuroWallet is also subject to Privy’s Terms of Service and Privacy Policy.
A feature that lets you export your NeuroWallet private key - so that you can import and use the same wallet in other self-custodial wallet applications - is coming soon. Until this feature is available in the App, you may not be able to export your key directly through the App. This does not change the non-custodial nature of NeuroWallet: at no time does Neurobro hold or have access to your keys, and Privy’s architecture supports key export, so your control of the wallet does not ultimately depend on Neurobro or on your continued use of the App.

2.3 Neurobro Is Not an Exchange, Broker, or Custodian

When you initiate, instruct, or engage in trades using NeuroWallet, those trades are matched and settled on third-party infrastructure using third-party technologies. NeuroWallet provides an interface to, and facilitates your access to, that third-party infrastructure; the matching and settlement of trades occur on third-party decentralized venues and protocols, and not on any exchange, order book, or trading venue operated, controlled, or maintained by Neurobro.Neurobro is a developer and supplier of software; it is not a securities or commodities exchange, a decentralized exchange (DEX), a broker, a dealer, or a custodian, and does not act as your financial adviser, investment manager, portfolio manager, or commodity trading advisor. We are not your counterparty to any trade, we do not operate or control any trading venue, we do not match orders, and we do not provide clearing or settlement services. All trades you submit through NeuroWallet are unsolicited and are solely initiated by you: we do not solicit, recommend, or conduct a suitability review of any trade, and all decisions to buy, sell, or hold digital assets through NeuroWallet are solely yours.

2.4 User-Initiated Trades & Third-Party Infrastructure

User-initiated. Every trade is initiated and authorized by you within the App. NeuroWallet does not trade on your behalf on its own initiative, does not make trading decisions for you, and does not guarantee execution, price, or the availability of any market, token, or route. Third-party infrastructure. Trades you initiate are routed and executed through independent third-party blockchain infrastructure, including decentralized exchanges, liquidity venues, smart contracts, and routing and market-data providers that are not owned or controlled by Neurobro and that provide their services under their own terms. We do not control, and are not responsible for, their availability, accuracy, pricing, uptime, or performance. The third-party providers we use are identified in our Privacy Policy. How a trade is authorized. When you place a trade or a withdrawal, the App prepares the transaction and you sign it on your own device with your own wallet key. Neurobro then relays the signed transaction to the network and pays the network fee on your behalf. Neurobro does not hold a key that can sign for your wallet, and cannot originate, alter, or authorize a movement of your assets. Legacy trade authorization. Earlier versions of the App used a different model, under which you granted Neurobro a limited, revocable authorization to submit trades you initiated without signing each one separately. That authorization is limited to trades you initiate, cannot be used to move your assets to Neurobro or to any destination you have not initiated, and does not give Neurobro access to your private keys. New authorizations of this kind can no longer be granted, and those that remain are being wound down. If you granted one, you can view and revoke it in the App at any time. Until it is revoked, a trade placed from an older version of the App may still be submitted under it. Screening and refusal. We may refuse, delay, or block a quote, trade, or withdrawal. We may do so where a token shows security signals such as a honeypot, a transfer tax, a freeze or blacklist authority, or concentrated holdings; where the cost of executing a route would be disproportionate to its value; where an order exceeds a size limit we apply; or where a jurisdiction or sanctions control applies. Any screening we perform is best-effort, is provided in part by third parties, and is not a recommendation, a suitability review, or an assurance that an asset is safe. The absence of a warning is not an endorsement, and you remain solely responsible for what you trade. You may decline to place further trades, revoke any authorization you have granted, or stop using NeuroWallet at any time.

2.5 Trading Products

NeuroWallet offers three kinds of trading. Each is executed on independent third-party venues that Neurobro neither operates, controls, nor owns:
  • Spot cryptocurrency trading. Swaps between digital assets, routed through independent third-party liquidity aggregators, currently Jupiter and Relay.
  • Perpetual futures, traded on Hyperliquid. See Section 2.6.
  • Tokenized equities, issued by Backed Finance, Ondo, Backpack and Robinhood Europe UAB. See Section 2.7.
Neurobro does not offer options, and offers no margin or leverage other than through the perpetual-futures feature described in Section 2.6.

2.6 Perpetual Futures

NeuroWallet lets you trade perpetual futures, a leveraged derivative product. Perpetual futures are traded on Hyperliquid, an independent third-party venue that Neurobro does not operate, control, or own. Every order is initiated by you and signed by you, and Hyperliquid, not Neurobro, is the venue on which your order is matched and your position is held. Not offered to U.S. Persons, or in the United States or the United Kingdom. By placing a perpetual-futures order you represent and warrant that: (a) you are not a U.S. Person as defined in Section 1.5; (b) you are not accessing this feature from within the United States or the United Kingdom; (c) you are not acting on behalf of, or for the benefit of, a U.S. Person; and (d) you are not using a VPN, proxy, or any other technology or method to circumvent, or attempt to circumvent, these restrictions. We may use geoblocking, identity verification, or other measures to enforce this Section, and may restrict this feature in further jurisdictions at our sole discretion. See Section 1.4. How it works. Positions use cross margin only; isolated margin is not offered. The maximum leverage available is set by Hyperliquid for each market and falls as your position size rises. Neurobro applies its own limit on the size of a single position, currently 1,000 US dollars of notional value, counting any position you already hold; an order above that limit is refused rather than reduced. Hyperliquid applies its own minimum order value, currently 10 US dollars. A deposit of collateral is subject to a minimum, currently 10 USDC, and Hyperliquid charges a flat withdrawal fee, currently 1 USDC. These limits may change.
Leverage can cost you everything you put up. Leverage multiplies both gains and losses. If your position moves against you it can be liquidated, and you can lose all of the collateral supporting it. You may also pay funding to the other side of the market for as long as you hold a position, which reduces your return independently of price. Markets on Hyperliquid can be thin, and thin markets have been manipulated in ways that drive other users into liquidation. Hyperliquid may reject, halt, cap, or delist any market at any time. Perpetual futures are not suitable for every user, and you should not trade them with funds you cannot afford to lose entirely.

2.7 Tokenized Equities

NeuroWallet lets you trade tokenized equities: on-chain tokens whose value references a real company share or exchange-traded fund. They are created and issued by independent third parties, not by Neurobro. Four issuers are currently represented. They are not the same instrument, and what you acquire differs by issuer:
  • Backed Finance issues the “xStocks” tokens on Solana, which track the price of an underlying share or fund. Your rights, if any, are against Backed Finance under its own terms, and not against the company whose share is referenced.
  • Ondo issues tokenized equities on Solana under its Ondo Global Markets product. Your rights, if any, are against the Ondo issuing entity under its own terms, and not against the company whose share is referenced.
  • Backpack issues tokenized equities on Solana. Your rights, if any, are against the Backpack issuing entity under its own terms, and not against the company whose share is referenced.
  • Robinhood Europe UAB issues, on Robinhood Chain, onchain representations of over-the-counter derivative contracts. These are cash-settled and confer no ownership of any equity, no shareholder rights, and no claim against the referenced company.
Availability and terms differ by issuer. Each issuer sets its own eligibility, its own restricted jurisdictions, its own minimum order size, and the hours during which its assets can be traded. The restrictions in this Section are the minimum that applies to every issuer; an individual issuer’s own terms may be narrower, and where they are, the narrower scope governs. We may withhold a particular issuer, or a particular asset, in a jurisdiction for that reason. You do not choose the issuer. Where the same company or fund is carried by more than one issuer, Neurobro selects which issuer’s token your order buys, at the time you place it, by which one returns the most shares for the amount you entered. That selection can differ between two orders for the same asset, including because of their size. When you sell, you sell the token you already hold. Not offered to U.S. Persons, or in the United States or the United Kingdom. By placing a tokenized-equity order you represent and warrant that: (a) you are not a U.S. Person as defined in Section 1.5; (b) you are not accessing this feature from within the United States or the United Kingdom; (c) you are not acting on behalf of, or for the benefit of, a U.S. Person; and (d) you are not using a VPN, proxy, or any other technology or method to circumvent, or attempt to circumvent, these restrictions. We may use geoblocking, identity verification, or other measures to enforce this Section, and may restrict this feature in further jurisdictions at our sole discretion. See Section 1.4.
A tokenized equity is not a share. When you buy one you acquire a token issued by a third party, not the underlying share. You are generally not a shareholder of the underlying company, and you hold no voting rights and no claim against that company. Your claim, if any, is against the token issuer and is governed by that issuer’s own terms.Dividends and other corporate actions are the issuer’s, not the company’s. You have no dividend entitlement against the referenced company. Whether a dividend or other corporate action reaches you at all, and in what form, is determined solely by the issuer of the token you hold and by that issuer’s own terms. Issuers handle this differently: some reflect it in the value of the token rather than paying anything out, some do not pass it on, and a cash-settled derivative confers no entitlement to it in the first place. Do not assume any particular treatment, and read the terms of the issuer whose token you hold.These tokens carry issuer-enforced controls: the issuer can restrict transfers and, in defined circumstances, act on holdings. The token’s price may diverge from the price of the underlying share, and the token may trade while the underlying market is closed.
Which assets are available. The tokenized equities you can trade are a curated list maintained by Neurobro, which may change at any time and without notice. Some listed assets can be sold but not bought. Neurobro is not a broker-dealer, does not provide brokerage, custody, clearing, or settlement services, and gives no advice on any listed asset. Order minimums. A tokenized-equity order is subject to both our own minimum and the minimum set by the issuer of the token being bought, and the larger of the two applies. Issuer minimums vary widely between issuers and can be substantially higher than ours. The minimum that applies to a given asset is shown in the App, and an order below it is refused rather than reduced.

2.8 Fiat Deposits and Cash-Out

NeuroWallet lets you fund your wallet with traditional currency and cash out to a card or bank account. Neurobro does not accept, hold, convert, or transmit your money at any point. These transactions are carried out by Onramper and the licensed payment providers it aggregates, including MoonPay. Those providers contract with you directly under their own terms. The provider, not Neurobro, verifies your identity. The payment provider performs its own identity verification and anti-money-laundering checks and collects the identity documents and payment details required to do so. Neurobro does not collect, receive, or store that information, and performs no identity verification of its own. See Section 6.3. What you receive. Deposits are delivered as USDC on Base or Solana. Cash-out is subject to a minimum, currently 25 US dollars. Availability, limits, currencies, and payment methods are set by the provider and vary by country. Neurobro charges no fee of its own on fiat deposits or cash-out; the provider’s fee is contained in the quote shown to you before you confirm.

2.9 NeuroWallet Availability & Eligibility

NeuroWallet does not require a paid subscription and is available on all access tiers. Its availability by jurisdiction, including the features withheld in particular countries, is set out in Section 1.4. NeuroWallet may be unavailable in your jurisdiction even where use of the other Services is permitted, and the jurisdictions in which it or any of its features are available may change at any time.

2.10 Assumption of Wallet & Trading Risk

Digital-asset trading is highly risky. By using NeuroWallet you acknowledge and assume all associated risks, including: extreme price volatility and the potential total loss of your assets; the irreversibility of on-chain transactions (a completed, mistaken, or fraudulently induced transaction cannot be undone); smart-contract, protocol, oracle, or bridge failures, bugs, or exploits; slippage, price impact, failed transactions, and network congestion or gas-fee spikes; miner/maximal-extractable value (MEV), front-running, and sandwich attacks; and loss of access to your wallet if you lose your device or recovery method. Any AI-generated information shown in NeuroWallet is subject to the disclaimers in Section 4 and is not financial advice. If you trade perpetual futures or tokenized equities, the additional risks specific to those products are set out in Sections 2.6 and 2.7 and are assumed by you in the same way. You are solely responsible for the security of your wallet, for every trade you make, and for any taxes arising from your activity. See also Section 8 (No Fiduciary Duties & Assumption of Risk).

2.11 Wallet Security & Loss

You are solely responsible for maintaining the security of your device, your login credentials, your NeuroWallet, and any recovery method or exported key. Neurobro is not responsible for the security or safety of your digital assets. If you lose access to your wallet, device, or recovery method, or if your credentials, keys, or (once available) exported private key are lost, stolen, compromised, or accessed by a third party, we cannot restore access to your wallet or your assets, and we are not liable for any resulting loss. Self-custodied assets cannot be recovered, reversed, or restored by us through any account-based process. When private-key export becomes available, you acknowledge and accept the risk of exporting and transmitting an unencrypted private key. We strongly recommend that you safeguard your device and recovery method and enable available security features.

3. Read-Only Exchange Connections

This Section governs the Portfolio Tracking feature of the Neurobro Mobile App. Portfolio Tracking is separate from, and unrelated to, the Neurobro Web non-custodial swap interface and to NeuroWallet (Section 2); the read-only, no-trading limitations in this Section describe the exchange connections used for Portfolio Tracking and do not apply to NeuroWallet, through which you may initiate your own trades. The “API keys” and “API credentials” referred to throughout this Section mean the read-only access keys that third-party exchanges issue to you for Portfolio Tracking; they are not related to NeuroAPI or any other Neurobro API, product, or developer interface.

3.1 Connecting Supported Exchanges

The Portfolio Tracking feature lets you link accounts you hold at supported third-party cryptocurrency exchanges by supplying the read-only API credentials (API keys) that the exchange issues to you. The currently supported exchanges are Binance, OKX, Bybit, KuCoin, Indodax, and Tokocrypto. The list of supported exchanges, and the data available from each, may change over time.

3.2 Read-Only Access Only

For Portfolio Tracking, the Neurobro Mobile App accepts read-only exchange API keys only. Through these exchange connections, the App has no order-execution, trading, or withdrawal capability and cannot move, trade, place orders for, or otherwise access or dispose of your funds on any connected exchange. Portfolio Tracking is used solely to retrieve and display account information such as balances, trade history, positions, and net worth.
You are solely responsible for creating exchange API keys that are scoped to read-only permissions, and for ensuring those keys do not grant trading, withdrawal, or transfer access. If you provide exchange credentials with broader permissions than read-only, you do so at your own risk. We strongly recommend you review the API key permission settings offered by each exchange before connecting an account.

3.3 Security of Exchange API Credentials

The exchange API credentials you provide for Portfolio Tracking are encrypted at rest. You remain responsible for safeguarding your own exchange account, login credentials, and any exchange API keys you generate. You may disconnect a linked exchange at any time through the Mobile App.

3.4 Exchanges Are Independent Third Parties

Each supported exchange is an independent third party that is not owned, operated, or controlled by the Operator. The Operator does not control, and is not responsible for, the availability, accuracy, completeness, security, performance, or downtime of any exchange or of the data an exchange makes available through its API. Exchange data displayed in the App is provided by the exchange and may be delayed, incomplete, or unavailable.

3.5 Each Exchange’s Own Terms

You are solely responsible for creating and maintaining your accounts at each exchange in compliance with that exchange’s own terms, and you remain bound by each connected exchange’s Terms of Service and related policies. By connecting an exchange account, you confirm that doing so does not violate that exchange’s terms.

4. Nature of Neurobro’s Intelligence

4.1 AI Ecosystem Disclaimer

Neurobro is a collective intelligence formed by an evolving network of specialized AI agents. These AI agents process data independently and collaboratively, so outputs may vary in style, depth, or perspective.

4.2 “AI Alpha” Content

The Services may generate price targets, stop‑losses, technical charts, or token lists using machine‑learning models (“AI Alpha”). AI outputs may be inaccurate, outdated, or contradictory. Nothing presented constitutes investment advice, portfolio management, or a recommendation to buy or sell any asset. You remain solely responsible for your trading decisions.
Information provided through any of our Services, including any content generated by Neurobro, does not constitute investment, financial, legal, regulatory, accounting, or tax advice. Nothing herein shall be construed as a solicitation, recommendation, or offer to acquire or dispose of any security, commodity, or other financial instrument. 4.4 AI Commentary on Your Connected Portfolio

Any AI-generated commentary, analysis, or insights about your connected exchange portfolio - including your positions, holdings, profit and loss (PnL), or net worth - is provided for informational purposes only. Such output may be inaccurate, incomplete, outdated, or “hallucinated,” and does not constitute investment, financial, legal, regulatory, accounting, or tax advice, nor a recommendation, solicitation, or offer to acquire, hold, or dispose of any asset.
AI portfolio commentary is not portfolio management and is not personalized financial advice. You should always conduct your own research (DYOR), independently verify any figures or conclusions, and consult qualified professionals before acting on any AI-generated output. You remain solely responsible for all decisions you make regarding your accounts and assets.

4.5 Accuracy and Reliability

Neurobro’s AI agents analyze real-time data from social media, on-chain activity, and third-party sources. While we strive for accuracy, content may contain errors, omissions, or outdated information due to the volatile nature of crypto markets. Use content at your sole risk.

5. Fees

5.1 Subscription Fees, Cancellation & Refunds

Paid subscriptions (Pro, Ultra) are billed on a recurring basis (monthly or annual) at the prices listed on the Plans & Pricing page. Subscriptions auto-renew for the same period unless cancelled before the end of the current billing period. Prices may change with reasonable notice; existing subscribers will be notified before any price increase takes effect. Where you subscribe determines who processes and refunds your payment:
  • Web subscriptions are processed by Stripe, for which Neurobro is the merchant of record. Manage or cancel from your subscription settings on Neurobro Web.
  • Mobile subscriptions are sold and processed by the Apple App Store or Google Play Store under that store’s own terms. Manage or cancel through your device’s subscription settings.
Cancellation. You can cancel at any time. Cancellation stops the next renewal; it does not end the billing period you are already in, and you keep access until that period ends. Cancelling after a renewal has already been charged does not reverse or refund that period. Refunds.
  • Mobile (Apple App Store, Google Play). Purchases made through the App Store or Google Play are sold and refunded by the applicable store under that store’s own policies. Neurobro does not process store payments and cannot issue, approve, or deny refunds for them; any refund request for a store purchase must be made directly to Apple or Google.
  • Web (Stripe). Web subscription fees are non-refundable, including for unused time and partial billing periods, except (a) where a refund is required by applicable law, or (b) where Neurobro grants one at its sole discretion on a case-by-case basis. Stripe is a payment processor and does not decide refund requests; that decision is Neurobro’s.
Nothing in this Section limits any non-waivable refund or cancellation rights you may have under the mandatory consumer-protection laws of your country of residence.

5.2 Swap, Trading, and Network Fees

Neurobro Web swaps. The Operator does not charge a platform fee for swaps executed through the Neurobro Web interface. NeuroWallet trades. For spot cryptocurrency and tokenized-equity trades executed through NeuroWallet, the Operator charges a fee that depends on your access tier: 0.50% for Basic, 0.40% for Pro, and 0.30% for Ultra, subject to a minimum of 0.25 US dollars per trade, whichever is greater. Users attributed to a referral receive a permanent 10% discount on this fee. Minimum trade values vary by product and by asset, and the minimum that applies to your trade is shown in the App before you confirm. This is an all-in fee. Routing, bridging, and network costs are absorbed within it rather than added on top, and where the underlying cost of executing a route exceeds the fee, the fee falls to zero rather than the excess being passed to you. The fee that applies to your trade, together with estimated slippage and price impact, is disclosed in the App at the time of each quote, before you confirm. Fee levels may change, and any change is reflected in the in-app quote. Withdrawals. A flat fee of 0.50 US dollars applies to a withdrawal from NeuroWallet. It is waived on fiat cash-out. Perpetual futures. The Operator charges a builder fee of 0.05% on perpetual-futures orders. To enable this you sign an on-chain approval on Hyperliquid setting a maximum builder fee of 0.1%; the Operator charges 0.05% within that ceiling. Hyperliquid charges its own trading fees separately and applies its own deposit minimum and flat withdrawal fee, as described in Section 2.6. Fiat deposits and cash-out. The Operator charges no fee. The payment provider charges its own, contained in the quote shown to you before you confirm. Network fees and account rent. For NeuroWallet, the Operator pays the blockchain network (gas) fee on your behalf and recovers its cost within the fee described above; you are not billed separately for gas. On Solana, opening a token account requires a small refundable deposit known as rent, which the Operator fronts for you; it is held in your own account and is returned to you, not to the Operator, when that account is closed. For Neurobro Web, and for any transaction you sign with your own self-hosted wallet, you remain responsible for network (gas) fees, for third-party protocol, liquidity provider, bridge, router, or aggregator fees associated with the underlying route, and for slippage and price impact. These fees are charged for access to Neurobro’s software and interface; they do not constitute Neurobro taking custody of, holding, or transmitting your assets or value. Any previously published Neurobro Web swap fee/referral structures are deprecated as of Nov 06, 2025. The Services may display promotional offers or affiliate referral links to supported third-party cryptocurrency exchanges, namely Binance, OKX, Bybit, KuCoin, Indodax, and Tokocrypto. When you sign up for or use one of these exchanges through an affiliate link displayed in our Services, the Operator may earn a commission from that exchange. This does not affect the price you pay, and you are not charged any additional cost as a result. Affiliate and promotional links are geo-gated and are not displayed to all users. In particular, such links are not displayed in the comprehensively restricted jurisdictions described in Section 1.4(a), or in the United Kingdom, due to the financial-promotions regime administered by the UK Financial Conduct Authority (FCA). Additional per-exchange country restrictions also apply, so a given affiliate link may be unavailable in your jurisdiction even where the foregoing exclusions do not apply. Your detected country is used to determine which links, if any, are displayed (see our Privacy Policy for details on how we determine your location). This geo-gating affects only the display of affiliate and promotional links. It does not, by itself, restrict your access to or use of the core Services. The Operator does not endorse, guarantee, or assume responsibility for any third-party exchange or service. You are solely responsible for evaluating and complying with the terms of any third-party service you choose to use.

5.4 Taxes

You are solely responsible for determining, reporting, and paying any taxes (including income, capital-gains, sales, value-added, or similar taxes) that apply to your use of the Services, your trades, and your digital-asset holdings. Neurobro does not withhold, collect, remit, or report taxes on your behalf, and the fees described above are exclusive of any such taxes. Nothing in the Services constitutes tax advice; consult a qualified tax professional regarding your obligations.

5.5 Referral Program

The Services include a referral program under which you may earn a share of the revenue generated by users you refer. Attribution. A referred user is attributed to you when they sign up, and that attribution is permanent. It cannot be applied retroactively to an existing account. What you earn. The current rates are 20% of subscription revenue, 40% of spot trading fees, and 40% of perpetual-futures builder fees from users attributed to you. These rates may change at any time. Payment. Earnings are held for 30 days before becoming available, and are reversed if the underlying payment is refunded or charged back. Payouts are made in USDC on Base, are subject to a minimum, currently 1 US dollar, and require you to supply a payout address and prove control of it by signing a message. Payouts are made on request and are reviewed before release; the Operator may decline or withhold a payout where it suspects fraud, abuse, or breach of these Terms. Prohibited conduct. You may not refer yourself, create accounts in order to generate referrals, or use deceptive or unsolicited promotion to obtain them. The Operator may cancel unpaid earnings, reverse paid earnings, and remove you from the program for any such conduct. Taxes. Referral earnings are your income and you are solely responsible for any tax arising on them. See Section 5.4.

6. AML & Sanctions Controls

6.1 Geographic Restrictions

We restrict access to the Services by jurisdiction, as set out in Section 1.4. These restrictions are applied by us on the basis of your detected location; they are not a matter of your election.

6.2 Withdrawal Address Screening

Before a withdrawal from NeuroWallet is submitted, we screen the destination address against a list of digital-currency addresses designated by the U.S. Office of Foreign Assets Control (OFAC). A withdrawal to a designated address is refused. This screening is best-effort and address-based. It is not a guarantee that a destination is lawful or safe, and the absence of a match is not an assurance of either.

6.3 We Do Not Verify Your Identity

Neurobro does not perform identity verification (“KYC”) and does not screen users by name against sanctions lists. Where identity verification is required, in particular for fiat deposits and cash-out, it is performed by the licensed payment provider described in Section 2.8, which collects that information directly from you under its own terms. Neurobro does not receive or store it.

6.4 Reservation of Rights

The Operator maintains lists of prohibited addresses and restricted jurisdictions and may update them at any time without prior notice. The Operator reserves the right to refuse, suspend, or terminate access to any part of the Services where it believes a sanctions, legal, or fraud risk applies.

7. User Responsibilities

7.1 Input Quality

Your prompts, questions, or data (“User Content”) directly influence Neurobro’s responses. You agree to provide clear, truthful, and respectful inputs. We reserve the right to block abusive, manipulative, or harmful User Content.

7.2 Prohibited Uses

You agree not to use the Services or Neurobro to:
  • Violate any laws, regulations, or third-party rights;
  • Spread misinformation, spam, or malicious code;
  • Scrape data, reverse-engineer models, or disrupt infrastructure; or
  • Engage in market manipulation, scams, or harassment.

7.3 Sharing Conversations

By sharing Service interactions publicly, you grant us a non-exclusive, royalty-free license to use, modify, and distribute such Content for promotional or improvement purposes.

8. No Fiduciary Duties & Assumption of Risk

Digital‑asset prices are highly volatile and smart contracts can fail. You assume all risks arising from your use of the Services, including but not limited to those set out in Section 2.10 (Assumption of Wallet & Trading Risk) and, for AI‑generated content, in Section 4. The Operator owes no fiduciary duty and disclaims liability except as expressly set out herein.

9. Intellectual Property

9.1 Ownership

“Neurobro”, “Neurobro Web”, and associated logos are trademarks owned by NeuroFoundation, LLC. All software code, text, and graphics on the Services are either owned by or licensed to the Operator and are protected by copyright law. You may not copy, redistribute, or create derivative works without our express written permission.

9.2 User-Generated Content

By submitting User Content, you grant us a perpetual license to use it for training Neurobro’s AI agents, improving Services, and developing new features. This training license does not extend to Inputs or Output submitted through NeuroAPI (as defined in the API Terms of Service): we do not use NeuroAPI Inputs or Output to train, fine-tune, or improve our AI models, and their processing is governed instead by the API Terms of Service and the Privacy Policy.

10. Data and Privacy

10.1 AI Agent-Driven Data Processing

Neurobro’s AI agents may process User Content, queries, and usage patterns to generate insights. Data may be stored on third-party platforms for analytics, error tracking, or model training.

10.2 Privacy Policy

We adhere to applicable data protection laws. For details on data collection, storage, and sharing, review our Privacy Policy.

10.3 Minimal Data Usage

We store the minimal data required to operate the Services.

10.4 Personalization Data (Alpha Profile)

To tailor Neurobro’s responses, you may choose to provide optional personalization data (an “Alpha Profile”). It is used only to personalize your experience in Neurobro Web and related mini apps, is not visible to other users, and is not sold or licensed to third parties. You can remove it at any time in your settings. What we collect, how we use it, and how deletion works are set out in our Privacy Policy.

11. Disclaimers and Limitation of Liability

11.1 No Warranties

THE SERVICES AND NEUROBRO ARE PROVIDED “AS IS.” WE DISCLAIM ALL WARRANTIES, INCLUDING ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR, ITS DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL LOSSES (INCLUDING LOST PROFITS OR LOST DATA) ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE OPERATOR IS NOT LIABLE FOR ANY LOSS OF DIGITAL ASSETS OR TRADING LOSSES, INCLUDING THOSE ARISING FROM MARKET MOVEMENTS, SLIPPAGE, FAILED OR IRREVERSIBLE TRANSACTIONS, SMART-CONTRACT OR THIRD-PARTY-INFRASTRUCTURE FAILURES, OR LOSS OF ACCESS TO YOUR WALLET. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO THE OPERATOR IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

11.3 Third-Party Risks

Neurobro may integrate or reference third-party data sources (e.g., blockchain APIs, social media). We do not control these external sources and disclaim responsibility for their accuracy, security, or any resulting damages.

12. Modifications & Termination

We may amend these Terms by posting an updated version. Continued use after the “Last Updated” date constitutes acceptance. We may suspend or terminate access without notice if you breach these Terms or applicable law.

12.1 Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or liabilities arising from or related to your misuse of the Services or your breach of these Terms.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. Governing Law & Dispute Resolution

13.1 Informal Dispute Resolution

Before commencing any arbitration or proceeding, you and the Operator agree to first attempt to resolve the dispute informally. The party raising the dispute must send written notice describing it to info@neurobro.ai (or, for the Operator, to your account email), and the parties will negotiate in good faith for at least sixty (60) days from that notice. This requirement does not apply where a party seeks urgent injunctive or equitable relief.

13.2 Governing Law & Binding Arbitration

These Terms are governed by the laws of the State of Delaware, United States. If a dispute is not resolved under Section 13.1, it shall be finally settled by binding arbitration under the Delaware Arbitration Rules, with proceedings conducted in Delaware (including remotely), and the resulting award shall be enforceable in any competent court. The arbitrator has exclusive authority to resolve any dispute over the interpretation, applicability, enforceability, or formation of this arbitration agreement. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction (for example, to protect intellectual property or confidential information).

13.3 Class Action Waiver & Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND THE OPERATOR AGREE THAT ANY CLAIM OR DISPUTE SHALL BE BROUGHT AND RESOLVED ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AND THE OPERATOR EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

13.4 Time to File Claims

Any claim or cause of action arising out of or relating to these Terms or the Services must be filed within one (1) year after the claim or cause of action arose; otherwise, it is permanently barred.

Rewrote Section 5.1 into “Subscription Fees, Cancellation & Refunds” to state the refund position accurately by payment channel, replacing the prior single sentence that deferred refunds to “the policies of the respective payment processor (Stripe, Apple, or Google)”.
